Terms of Service

1. Agreement

By accessing or using Cognograph ("the Service"), you agree to these Terms of Service. Cognograph is operated by Stefan Kovalik ("I", "me", "my"). If you do not agree, do not use the Service.

2. Description of Service

Cognograph is a spatial AI workflow canvas. It is available as:

  • Web application at cognograph.app, with optional account for cloud features.
  • Desktop application (Electron), with local-first data storage.

The Service includes:

  • A visual canvas for organizing AI conversations, agents, terminals, notes, tasks, and artifacts.
  • AI chat powered by third-party providers (Anthropic, OpenAI, Google, etc.).
  • Claude account routing via Claude CLI (desktop only), allowing use of your existing Claude subscription without a separate API key.
  • Cloud terminals for running commands in an isolated environment.
  • A creative pipeline for generating images, audio, video, and 3D models.
  • Notion push sync for workspace data.
  • MCP Server for extending Cognograph with custom tool integrations.
  • Cloud workspace sync and media storage.

3. Accounts

Some features require a free account. You must be at least 13 years old to create an account. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

You are responsible for maintaining the security of your account credentials. You must provide accurate information and keep it current. You may not share account access or create accounts for others without their consent.

4. Free and Pro Tiers

Cognograph offers two tiers:

  • Free: All node types, spatial triggers, BYOK AI access, local terminal, 500MB storage, $1 trial credit.
  • Pro ($15/month, Public Beta): Unlimited cloud terminals, 10GB storage, spatial triggers, $5/month AI credit, CLI nodes, full context injection, priority support. Cognograph Pro is in public beta. Features may change, and you may encounter bugs. Your subscription is a pledge of support for independent development, not a guarantee of uptime or feature completeness. Full refunds available within 14 days of any billing cycle.

I reserve the right to modify tier features and pricing with 30 days' notice to active subscribers.

5. Billing and Credits

Pro subscriptions are billed monthly through Stripe. Subscriptions auto-renew unless cancelled before the next billing date. You can cancel at any time through your account settings; access continues until the end of the current billing period.

AI credits are consumed when using the managed API proxy. Credit costs are estimates based on token usage. Unused credits do not roll over between billing periods. Purchased credit add-ons are non-refundable once consumed. See the Refund Policy for details.

6. API Keys and Third-Party Services

Cognograph supports three AI access modes: (1) Bring Your Own Key (BYOK), where you provide API keys directly; (2) stored keys, encrypted server-side with AES-256-GCM at rest; and (3) Claude account routing (desktop only), where the desktop app authenticates through the Claude CLI using your existing Claude subscription.

When using Claude account routing, your requests are processed through the Claude CLI on your local machine. No API key is stored or transmitted. Your usage is subject to your Claude subscription limits and Anthropic's terms.

You are responsible for your API key usage, costs, and compliance with each provider's terms. I am not liable for charges incurred through your API keys, whether stored locally or on the server.

7. User Content

Content you create in Cognograph (workspaces, conversations, artifacts) belongs to you. I claim no ownership rights. By using cloud features, you grant me a limited license to store, transmit, and process your content solely to provide the Service.

You are responsible for the content you create and the prompts you send to AI providers. Do not use the Service to generate content that violates applicable laws or the terms of your AI provider.

8. Acceptable Use

You agree to the Acceptable Use Policy, which governs cloud terminal usage, API proxy usage, and content restrictions. Violations may result in suspension or termination of your account.

9. Intellectual Property

The Cognograph name, logo, and brand identity are trademarks of Stefan Kovalik. "Perception-First Design™" is a trademark (USPTO Serial No. 99686343). Certain spatial architecture features are the subject of pending patent applications.

The source code is licensed under AGPL-3.0, which provides an implied patent license for the software as distributed.

10. Termination

You may delete your account at any time. I may suspend or terminate accounts that violate these terms or the Acceptable Use Policy. Upon termination:

  • You will have 30 days to export your workspace data.
  • After 30 days, your data will be permanently deleted.
  • Active subscriptions will not be renewed.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." I do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. AI-generated content may be inaccurate or inappropriate. You are responsible for reviewing outputs.

12. Limitation of Liability

To the maximum extent permitted by law, I shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. My total liability shall not exceed the amount you paid in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Stefan Kovalik from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, your violation of these Terms, or your infringement of any third-party rights.

14. Changes to Terms

I may update these terms. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
